Statement on Director Independence Ahead of VEON AGM

Amsterdam, 8 May 2024: VEON Ltd. (NASDAQ: VEON, Euronext Amsterdam: VEON), a global digital operator that provides converged connectivity and online services, (“VEON” or the “Company”), confirms that on 3 May 2024, the VEON Board of Directors determined that the following director nominees to be elected at the Company’s upcoming 2024 Annual General Meeting of Shareholders (“AGM”) are independent based on NASDAQ listing rules and the rules promulgated by the U.S. Securities and Exchange Commission: Augie Fabela, Sir Brandon Lewis, Duncan Perry and Michiel Soeting. 

VEON remains committed to the highest standards of corporate governance; and is proud to put forward a board slate consisting of a majority of independent directors. 

The Company invites its shareholders to support the candidacy of all seven of the director nominees, which also include former U.S. Secretary of State Michael R. Pompeo, who currently serves as a member of the Kyivstar Supervisory Board, Andrei Gusev and Kaan Terzioglu, the Company’s current CEO.
